1. Acceptance of Terms

By accessing and using PugWorks Cloud Backup ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

PugWorks Cloud Backup provides automated cloud backup solutions with military-grade encryption for Windows, Linux, and macOS systems. The Service includes:

  • Automated backup of files, folders, and system data
  • Secure cloud storage with encryption
  • Data retention and recovery services
  • Backup monitoring and reporting
  • Customer support as specified in your plan

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years old and able to form legally binding contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer multiple subscription tiers (Basic, Startup, Commercial, and Enterprise) with different storage limits, features, and pricing. Full plan details are available on our pricing page.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly, annual, or 3-year basis
  • All fees are in U.S. Dollars (USD)
  • Payment is due immediately upon subscription or renewal
  • We accept payment via credit card or other approved payment methods

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

4.4 Plan Changes

You may upgrade your plan at any time. Upgrades are prorated for the remainder of your current billing period. Downgrades take effect at the start of your next billing period.

4.5 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewals.

5. Money-Back Guarantee

For new Startup Monthly plan subscriptions only, we offer a 14-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial subscription. This guarantee:

  • Is available once per company
  • Applies only to the first subscription
  • Does not apply to annual or 3-year subscriptions
  • Is void if you upgrade your billing period within the 14-day window

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

6.2 Refund Policy

Except for the 14-day money-back guarantee, all payments are non-refundable. No refunds or credits will be issued for partial months or years of service, upgrade/downgrade refunds, or refunds for periods unused with an open account.

7. Data Storage and Usage

7.1 Storage Limits

Your subscription includes a specific amount of storage as defined in your plan. If you exceed your storage limit, you may be required to upgrade to a higher tier plan.

7.2 Data Retention

We retain your backup data according to your plan's retention policy. Upon cancellation or account termination, your data will be retained for 30 days, after which it will be permanently deleted.

7.3 Acceptable Use

You agree not to use the Service to store or transmit:

  • Illegal, harmful, or offensive content
  • Malware, viruses, or malicious code
  • Content that infringes on intellectual property rights
  • Content that violates privacy or data protection laws
  • Excessive amounts of data solely for archival storage purposes unrelated to backup needs

8. Security and Encryption

We employ industry-standard security measures including AES-256 encryption for data at rest and in transit. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security.

9. Service Availability and Support

9.1 Uptime

We strive to maintain 99.9% uptime for Enterprise plans with an SLA guarantee. Other plans do not include uptime guarantees. We do not guarantee uninterrupted or error-free service.

9.2 Maintenance

We may perform scheduled maintenance that temporarily interrupts the Service. We will provide advance notice when possible.

9.3 Support

Support levels vary by plan:

  • Basic & Startup: Self-service support via FAQ and knowledge base
  • Commercial: Email support with next business day response
  • Enterprise: Priority support with dedicated assistance during business hours

10. Intellectual Property

The Service, including all software, content, and technology, is owned by PugWorks and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PugWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for data loss due to your failure to maintain local backups
  • We are not liable for service interruptions caused by third-party providers or circumstances beyond our control

12. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless PugWorks, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you upload or transmit through the Service

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription through the Service dashboard.

14.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms of Service
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Abuse the Service or our support team

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Your data will be retained for 30 days, after which it will be permanently deleted. No refunds will be issued except as required by law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United States and the state in which PugWorks is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

17. Miscellaneous

17.1 Entire Agreement

These Terms constitute the entire agreement between you and PugWorks regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
